Terms of Service for Stay Fire Marketing

1. Agreement to Terms
This Terms of Service constitutes a legally binding agreement made between you, whether personally or on behalf of an entity (“Client,” “you”) and Stay Fire Marketing (“we,” “us,” or “our”), concerning your access to and use of our digital marketing services. By engaging our services, you agree that you have read, understood, and agree to be bound by all of these Terms of Service.
If you do not agree with all of these terms, you are prohibited from using our services.
2. Description of Services
We provide digital marketing services focused on local lead generation for service-based businesses. Our services include, but are not limited to:
- Google Business Profile (GBP) Optimization: Auditing, cleaning up, and optimizing your GBP listing to improve local search visibility.
- Meta Advertising (Facebook & Instagram): Creating, managing, and optimizing paid advertising campaigns to generate leads and calls.
- Review and Reputation Management: Strategies and support to help you generate and manage online reviews.
- Lead Generation Strategy & Consulting: Providing expert guidance on improving your overall digital marketing and lead flow.
The specific scope of services, deliverables, and fees for each Client will be detailed in a separate Statement of Work (SOW) or Client Agreement, which will be incorporated into and governed by these Terms.
3. Client Responsibilities
To ensure the effectiveness of our services, you agree to:
- Provide Necessary Access: Grant us timely access to relevant accounts, which may include your website backend, Google Business Profile, Meta Business Manager, and any other platforms necessary to perform our services.
- Provide Accurate Information: Supply us with accurate and complete information about your business, services, and target audience.
- Timely Feedback and Approval: Provide timely feedback and approvals on ad creative, copy, and strategies. Delays on your part may affect project timelines and results.
- Ownership of Materials: You warrant that you own or have the necessary rights to all branding, images, content, and other materials you provide to us for use in our marketing efforts.
4. Fees and Payment
Payment terms will be specified in your SOW. Standard terms are as follows:
- Service Fees: Our services are typically billed on a monthly retainer basis, payable in advance of each service period.
- Ad Spend: All advertising budgets (e.g., for Meta Ads) are paid directly by you to the advertising platform. We do not pay for your ad spend.
- Invoicing: Invoices are due upon receipt unless otherwise stated.
- Late Payments: Overdue invoices may be subject to a late fee of 1.5% per month on the outstanding balance. We reserve the right to pause or terminate services for non-payment.
- Taxes: All fees are exclusive of applicable taxes (such as GST/HST), which will be added to your invoice as required by law.
5. Term and Termination
- Term: The initial term of our agreement will be specified in the SOW. Most ongoing services auto-renew on a month-to-month basis after the initial term.
- Termination: For ongoing monthly services, either party may terminate the agreement by providing at least 30 days’ written notice to the other party.
- Effect of Termination: Upon termination, you will be responsible for any fees due for services rendered up to the effective date of termination. We will cooperate in the orderly transition of all accounts and assets under our management back to you.
6. Intellectual Property
- Your Property: You retain ownership of all your pre-existing intellectual property, including your branding, logos, and any content you provide to us.
- Our Property: We retain ownership of all our proprietary methods, tools, strategies, and pre-existing materials used to provide our services.
- Work Product: Upon full and final payment, you will own the specific deliverables created for you, such as ad copy and creative assets.
7. Confidentiality
Both parties agree to keep all non-public information received from the other party confidential. This includes business strategies, client lists, performance data, and other proprietary information. This obligation survives the termination of our agreement.
8. Disclaimer of Guarantees
You understand and agree that we cannot and do not guarantee specific results from our marketing services. We do not guarantee any particular search engine ranking, number of leads, call volume, or return on investment (ROI). The digital marketing landscape is constantly changing and subject to factors beyond our control, such as algorithm updates by Google and Meta. We promise to provide professional, skilled services based on industry best practices.
9. Limitation of Liability
To the maximum extent permitted by law, Stay Fire Marketing shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability to you for any and all claims arising from our services shall not exceed the total amount of fees paid by you to us in the three (3) months immediately preceding the event giving rise to the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless Stay Fire Marketing and its team from and against any and all claims, liabilities, damages, and costs (including reasonable legal fees) arising out of or in any way connected with (i) the content or materials you provide to us, or (ii) your business operations, products, or services.
11. Governing Law
This agreement shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein. Any legal action or proceeding shall be brought exclusively in the courts located in Calgary, Alberta.
12. Changes to Terms
We reserve the right to modify these Terms of Service at any time. We will notify you of any changes by updating the “Last Updated” date of these Terms. Your continued use of our services after any such changes constitutes your acceptance of the new Terms.
